Pedi-Sock Retailer Partner Program - Terms & Conditions
Roles and Responsibilities of Pedi-Sock:
Pedi-Sock will fulfill all order request submitted by Retailer for Pedi-Sock products from the Retailer section of the ecommerce site. The Product Listing may change from time to time as new items are added as well as deleted. All inquiries of new products can be submitted to [email protected]
Pedi-Sock retains all rights to all images of Pedi-Sock products as well as prohibits the misuse of any and all images provided. Retailer may not use any of the images or product information supplied by Pedi-Sock for any other purpose other than to gain sales.
Retailer must submit an online application located under the Retailer section of Pedi-Sock’s ecommerce site at www.pedi-sock.com. Upon approval of the Retailer’s application, Pedi-Sock will provide a username log-in and a temporary password. This information will grant access to the Retailer product section of the ecommerce site. Retailer will need to select a secure password upon their initial login.
Pedi-Sock is not the agent of either the Retailer or Retailer’s customer. Pedi-Sock is not involved in the actual transaction between Retailer and Retailer’s customer.
Fees and Charges:
Pedi-Sock will provide Retailer with an electronic copy of its Welcome Kit. The welcome kit will consist of all items shown in the product list with the pricing for each item and a copy of the Terms & Conditions.
Pedi-Sock will also provide Retailer with the suggested retail price but, does not impose the suggested retail prices to be the best price for retail establishment. The final retail price for each establishment will be left solely to the Retailer’s discretion.
Retailer will pay all fees and charges incurred with each item shipped by Pedi-Sock directly to Retailer in response to order fulfillment.
Retailer is responsible for arranging their own customer service and clearly posting a return policy within their establishments.
Pedi-Sock reserves the right and maintains sole discretion to immediately terminate any Retailer relationship due to inadequate customer service that will damage the reputation of the Pedi-Sock brand.
Right to Modify:
Pedi-Sock retains the right to modify this agreement at any time. Changes will not be retroactive. If any modification is unacceptable to Retailer; Retailer recourse will be termination from participation in the distribution of Pedi-Sock products. Continued participation will constitute acceptance of the modifications.
This agreement will be governed by the laws of the State of Illinois. Any disputes will be in courts located in Chicago, Illinois.
Pedi-Sock will not process any product order until payment by Retailer has been received.
Pedi-Sock is not responsible for any payment problems between Retailer and Retailer’s customer.
If any provisions or sections of this agreement shall be deemed unlawful, void or for any reason unenforceable, then that provision or section shall be deemed severed from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.
Pedi-Sock is not responsible or liable for the success of Retailer’s establishment, the accuracy of any marketing material or website the Retailer operates or owns, including but not limited to any marketing material that third parties may prepare on the Retailer’s behalf. Further, Retailer has independently evaluated the desirability of distributing Pedi-Sock products and Retailer is not relying on any representation, guarantee or statement other than set forth in this agreement.
Ordering & Shipping:
All orders will be made through Pedi-Sock’s ecommerce site at www.pedi-sock.com. All orders usually ship within 1-2 business days upon receipt of payment. Pedi-Sock will do its best to keep all products updated on website with photos. Please note that availability and prices can change without notice.
NOTE: Pedi-Sock will ship Retailer orders to the “business shipping address” listed on business profile.
Payment must be received before shipping. All orders are shipped ground through third party courier to the business shipping address listed on Retailer’s business profile. Pedi-Sock will not be responsible for any shipping issues; delays, lost or stolen deliveries due to incorrect shipping information. Pedi-Sock will not be held liable to send out replacements with expedited shipping services, all replacements will be shipped ground through a third party courier service.
Sales and Tax:
Retailer agree that it is their sole responsibility to collect, report and remit all taxes to the correct tax authority for all business transactions, sales or revenue stemming from the sales of the Pedi-Sock's products.
